Hepsiburada’s Majority Shareholder Kaspi.kz Acquires Rabobank A.Ş.

Kazakhstan-based technology and e-commerce company Kaspi.kz announced that it has completed the acquisition of fully licensed Rabobank A.Ş., which operates in Türkiye. The company has therefore officially expanded its presence in Türkiye’s banking sector following its investment in Hepsiburada. No information was disclosed regarding the financial value of the transaction.

Banking Move Following E-Commerce Investment

Kaspi.kz signed a share purchase agreement on March 27, 2025, to acquire Rabobank A.Ş., the Turkish subsidiary of Rabobank Group. The company received approval from the Banking Regulation and Supervision Agency (BRSA) in June 2026. Following the completion of customary closing conditions, the acquisition process was finalized as of July 15, 2026.

The company’s investments in Türkiye also include Hepsiburada, one of the country’s leading e-commerce platforms. Kaspi.kz currently holds an 86.74 percent stake in Hepsiburada.

Kaspi.kz Issues Statement on Türkiye

Following the receipt of BRSA approval, Kaspi.kz CEO and Co-Founder Mikheil Lomtadze stated that the process marked an important milestone for the company and a significant step toward developing its operations in Türkiye.

Lomtadze thanked the BRSA and the relevant authorities for their constructive cooperation throughout the process. He also said that, following the completion of the acquisition, Kaspi.kz looked forward to making its experience in payments, e-commerce, and financial technologies available to customers and merchants in Türkiye.

Kaspi.kz Reaches More Than 25 Million Consumers

Kaspi. kz operates a two-sided Super App model serving more than 25 million consumers and 900,000 merchants across Kazakhstan and Türkiye. The company’s platform in Kazakhstan brings together payments, e-commerce, online grocery, fintech, travel, classifieds, and public services within a single digital ecosystem.

Listed on Nasdaq since January 2024, Kaspi. kz has expanded its investment network in Türkiye to include e-commerce, payment systems, and banking activities through the acquisition of Rabobank A.Ş.
